Creator Agreement

This Creator Agreement ("Agreement") is entered into between ReferralHub ("Platform", "we", "us") and the individual or entity who registers as a creator on the Platform ("Creator", "you"). By creating an account or applying to any campaign listed on the Platform, the Creator acknowledges that they have read, understood, and agree to be bound by this Agreement and any campaign-specific terms published on the Platform.

Subject to the terms of this Agreement, ReferralHub grants the Creator a non-exclusive, non-transferable, revocable licence to: (a) access the Platform and apply to published campaigns; (b) generate unique tracking links assigned to the Creator for each approved campaign; and (c) publish, share, or embed those tracking links across digital channels, including but not limited to social media, websites, video platforms, email newsletters, and messaging applications. This licence is limited to campaigns for which the Creator's application has been accepted and does not extend to any campaign content, trademarks, or creative materials owned by the merchant unless expressly authorised in writing by that merchant.

The Creator agrees to: (a) promote campaigns accurately and in a manner consistent with applicable consumer protection, advertising, and disclosure laws, including but not limited to the Malaysian Communications and Multimedia Act 1998 and any applicable guidelines issued by the Communications and Multimedia Content Forum; (b) clearly and conspicuously disclose their material connection to the merchant (including that they earn a commission) in each piece of promotional content, in a manner that is unambiguous to a reasonable consumer; (c) refrain from making false, misleading, or unsubstantiated claims about any campaign, product, or service; (d) not use automated scripts, click farms, bots, proxy-generated traffic, or any artificial means to simulate impressions, clicks, or conversions; and (e) not engage in spam, unsolicited bulk messaging, or any form of distribution that violates applicable anti-spam legislation.

Commissions payable to the Creator are calculated in accordance with the commission model (CPA, CPL, CPS, or revenue share) set out in the specific campaign listing at the time the Creator's application is approved ("Campaign Terms"). A "Conversion" is deemed to occur when a qualifying action is completed by a referred user through the Creator's unique tracking link, as determined by the Platform's tracking technology. Conversions enter a "Pending" status and are credited to the Creator's available balance only upon verification and approval by the merchant or, where applicable, the Platform. ReferralHub reserves the right to reverse credited commissions where a Conversion is subsequently determined to be invalid, fraudulent, duplicated, or in breach of Campaign Terms, including where an associated sale is refunded.

The Creator may submit a payout request once their available balance equals or exceeds the minimum payout threshold published on the Platform at the time of the request. Payouts will be processed to the payment method registered by the Creator on the Platform within a reasonable time following approval of the request. The Creator is solely responsible for: (a) providing accurate, current, and complete payment information; (b) updating such information promptly upon any change; and (c) paying all taxes, duties, and levies imposed by any governmental authority on amounts received from the Platform. ReferralHub shall not be liable for any loss arising from incorrect payment information provided by the Creator.

The Creator retains all intellectual property rights in original content they create for the purpose of promoting campaigns ("Creator Content"). The Creator grants ReferralHub a non-exclusive, royalty-free, worldwide licence to display the Creator's account name and anonymised or aggregated performance data within the Platform for operational purposes. Nothing in this Agreement transfers any ownership in the Platform, its underlying technology, or any merchant's trademarks, product names, or creative materials to the Creator. The Creator shall not reproduce, modify, or create derivative works from any merchant's intellectual property without the merchant's express written consent.

ReferralHub may suspend or terminate the Creator's account, and revoke access to any or all campaigns, at any time with or without prior notice if the Creator: (a) breaches any provision of this Agreement or applicable Campaign Terms; (b) engages in fraudulent, deceptive, or unlawful conduct; (c) is found to have manipulated tracking data or commission records; or (d) otherwise acts in a manner that ReferralHub reasonably determines to be harmful to the Platform, its merchants, or other users. The Creator may close their account at any time by submitting a written request to ReferralHub. Upon termination, the Creator's licence to use the Platform and generate tracking links is immediately revoked. ReferralHub will use reasonable efforts to process any verified available balance outstanding at the time of termination, provided the Creator has not forfeited such balance by reason of fraudulent or prohibited activity.

To the fullest extent permitted by applicable law: (a) ReferralHub makes no warranty, express or implied, regarding the accuracy of tracking data, the availability of the Platform, or the conduct or products of any merchant; (b) ReferralHub's total aggregate liability to the Creator for any claim arising under or in connection with this Agreement shall not exceed the total amount of commissions paid to the Creator in the three (3) months immediately preceding the event giving rise to the claim; and (c) ReferralHub shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of revenue, loss of data, or loss of business opportunity, even if advised of the possibility of such damages.

ReferralHub reserves the right to amend this Agreement at any time. Notice of material amendments will be provided to the Creator via email to their registered address or via a prominent notification within the Platform, no less than fourteen (14) days before the amendment takes effect. The Creator's continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Agreement. If the Creator does not agree to an amendment, their sole remedy is to close their account before the effective date.

This Agreement shall be governed by and construed in accordance with the laws of Malaysia. The Creator irrevocably submits to the exclusive jurisdiction of the courts of Malaysia for the resolution of any dispute, claim, or controversy arising out of or in connection with this Agreement or the Creator's use of the Platform.
